Terms of Service

Eligibility

To use RONOSYSTEMS, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction).
• Have the legal capacity to enter into a binding contract.
• Not be prohibited from using the Service under applicable laws.
• Provide accurate, current, and complete registration information.

We reserve the right to refuse service to anyone for any lawful reason, at any time.

Your Account

When you create an account, you agree to:

• Keep your password secure — don't share it with anyone.
• Be responsible for all activity that happens under your account.
• Notify us immediately of any unauthorized access or security breach.
• Maintain accurate information — update your email, phone, and company details promptly.

Acceptable Use

You agree not to:

• Use the Service for any illegal, fraudulent, or harmful activity.
• Attempt to gain unauthorized access to our systems or other users' data.
• Reverse engineer, decompile, or scrape the Service.
• Introduce malware, viruses, or any destructive code.
• Send spam, phishing messages, or unsolicited communications.
• Overload, disrupt, or interfere with the Service's normal operation.
• Resell, sublicense, or white-label the Service without written permission.
• Infringe the intellectual property or privacy rights of others.

Subscriptions & Billing

RONOSYSTEMS offers various subscription plans, each with its own features and limits.

Billing

• Fees are billed in advance on a recurring basis (monthly, yearly, or one-time).
• All fees are non-refundable except as required by law.
• Prices are subject to change with 30 days' notice.
• Taxes are your responsibility unless stated otherwise.

Renewals & Cancellations

• Subscriptions renew automatically unless cancelled before the renewal date.
• You can cancel anytime from your dashboard.
• After cancellation, service continues until the end of the paid period.

Failed Payments

• We'll retry failed payments for up to 7 days.
• If payment isn't received, we may suspend your account.
• Data is retained for 90 days after suspension — after that, it may be deleted.

Intellectual Property

The Service — including its source code, design, logos, text, and features — is owned by RONOSYSTEMS and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute the Service or its underlying code.
• Use our trademarks, logos, or branding without written permission.
• Remove or obscure any copyright or proprietary notices.

Your Data & Privacy

We take your data seriously. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key points:

• You own your data — we're just custodians.
• We don't sell your data to anyone.
• You can export your data at any time.
• On account deletion, we permanently remove personal data within 90 days (except where legally required).

Third-Party Services

The Service integrates with third-party providers such as M-Pesa, Cloudinary, and email/SMS gateways. Your use of those services is governed by their own terms and privacy policies.

We are not responsible for the availability, accuracy, or practices of third-party services. If you choose to connect them, you do so at your own risk.

Suspension & Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if:

• You breach these Terms or our Acceptable Use policy.
• Your account is used for fraudulent or illegal activity.
• You fail to pay applicable fees.
• Continued service would create legal or security risks.

You may also terminate your account at any time. Upon termination, your right to use the Service ends immediately, and data may be deleted after the retention period described in our Privacy Policy.

Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied — including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure, nor that it will meet your specific business requirements.

Limitation of Liability

To the maximum extent permitted by law, RONOSYSTEMS and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us in the 12 months preceding the claim.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service will be resolved through good-faith negotiation first. If that fails, the dispute will be subject to the exclusive jurisdiction of the courts located in Nairobi, Kenya.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, features, or the law. When we do:

• We update the "Last updated" date at the top of this page.
• We notify you by email or in-app for material changes.
• We give you at least 30 days' notice before changes take effect.

Continued use of the Service after the effective date means you accept the updated Terms.
